Heesab Terms of Service and Pilot Terms

These Terms of Service and Pilot Terms ("Terms") govern use of Heesab by pilot customers unless a separate written agreement is signed. Heesab is operated by Basha Holdings LLC d/b/a Heesab ("Heesab," "we," "us," or "our").
Heesab is intended for United States business use only.

Service
Heesab helps a customer receive vendor invoices, extract invoice fields, train vendor and account mappings, and post approved or trusted routine invoices to QuickBooks Online as Bills.
The pilot is limited to agreed invoice workflows. Heesab is not a general accounting, bookkeeping, tax, payroll, legal, bill-payment, or financial-advice service.
Pilot Term and Fees
Unless separately agreed in writing:
- The pilot period is 60 days.
- The pilot fee is free.
- Either party may end the pilot on written notice.
If the parties agree to different pilot fees, duration, features, or support terms in writing, that written agreement controls for those items.
Customer Responsibilities
Customer is responsible for:
- Authorizing Heesab to connect to the correct QuickBooks Online company.
- Forwarding only agreed invoice emails and test documents to Heesab.
- Reviewing initial mappings, exceptions, suggested vendors, suggested accounts, and unusual items.
- Verifying posted transactions in QuickBooks Online.
- Keeping its own QuickBooks users, roles, permissions, bank feeds, and accounting controls in place.
- Promptly notifying Heesab of incorrect postings, duplicate concerns, unauthorized access, misdirected documents, or suspected security issues.
Customer remains responsible for its books and records.
Human Review and Auto-Posting
Heesab's operating model is hybrid:
- New, unmapped, incomplete, low-confidence, unusual, paused, or high-risk items remain in review.
- Trusted routine items may auto-post only when configured guardrails are met.
- Customer or operator may pause automation.
- Customer should verify posted transactions in QuickBooks Online.
Heesab does not guarantee that every invoice will parse correctly, map correctly, or post automatically.
QuickBooks Online Authorization
Customer authorizes Heesab to access QuickBooks Online under the permissions granted during Intuit's OAuth consent flow. For the v1 Bill workflow, Heesab is intended to request the QuickBooks Online Accounting scope.
Customer may revoke Heesab's QuickBooks access through Intuit or QuickBooks settings, or by asking Heesab to disconnect the tenant.
AI Processing
Customer acknowledges that Heesab uses AI services to parse invoice documents and assist with mapping. Customer should not send documents containing unrelated sensitive information unless agreed in writing.
AI output may be wrong. Customer remains responsible for reviewing exceptions and verifying results in QuickBooks Online.
Confidentiality and Data
Each party may receive confidential business information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for the pilot or service.
Heesab may process customer invoice data, QuickBooks data, vendor and account mappings, login data, operational logs, and audit logs as described in the Privacy Policy, Security Summary, and Data Retention Policy.
Availability and Support
The pilot is provided on a best-efforts basis. Heesab may be unavailable during maintenance, provider outages, development changes, troubleshooting, or security events.

No Professional Advice
Heesab is a software automation tool. Heesab does not provide accounting, bookkeeping, tax, payroll, legal, investment, or financial advice. Customer should consult its own professionals for those services.
Disclaimers
The pilot and service are provided "as is" and "as available." To the maximum extent permitted by law, Heesab disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Heesab's total liability for pilot use is limited to the greater of:
- Fees paid by customer to Heesab during the prior three months; or
- $100.
To the maximum extent permitted by law, Heesab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, or loss of business opportunity.
Termination
Either party may end the pilot on written notice. On termination:
- Customer should stop forwarding invoice emails to Heesab.
- Heesab may disable the tenant.
- Customer may revoke QuickBooks authorization.
- Heesab may delete QuickBooks tokens.
- Heesab may retain records as described in the Privacy Policy and Data Retention Policy.
Changes
Heesab is an early pilot product. Features, workflows, pricing, support, security controls, and availability may change before commercial launch. We may update these Terms as the product changes.
Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.
